Job Description

Immix Law Group is seeking an experienced Corporate Transactional Paralegal to join our team. From its offices in Portland, Oregon and Bainbridge Island, Washington, along with remote teammates, Immix delivers outstanding legal support to growing companies.

The position of Corporate Transactional Paralegal is a crucial legal services position. This position will support various practice areas, positioning the firm as an innovator in integrating business realities with legal services. The preferred candidate would have a combination of education and work experience of 5 to 7 years, in addition to a bachelor’s degree. The successful candidate will have demonstrated ability to manage a variety of assignments from multiple attorneys with attention to detail, meeting quality and timeliness expectations.  

 

Salary: DOE $85,000 - $130,000

In concert with attorneys, the Corporate Paralegal is responsible for services delivery excellence for firm clients in their business matters.

The Corporate Transactional Paralegal will be a specialist in the mergers and acquisitions (M&A) practice, with principal responsibility for smooth administration of operations, timely communication, and keen awareness of the closing checklist. The Transactional Paralegal will also work in concert with attorney peers on various transactional matters, including financings, securities compliance, state filings, and corporate governance.

Reporting :

The Corporate Transactional Paralegal will report to the Managing Attorney and the CFO.

Location:

This position is open to several working locations (Portland, OR and Bainbridge Island, WA), including remote, although West Coast working hours are preferred.

 

Responsibilities :

The responsibilities and duties of the Corporate Transactional Paralegal will include, but not be limited to, the below areas:

Mergers, Acquisitions, Financings, and other Extraordinary Transactions

  • Coordinate and provide guidance on M&A and financing transactions;
  • Provide superior client service, communicating directly with clients and other parties regarding transactions;
  • Prepare and manage the closing checklist;
  • Assist with preparation and distribution of SAFEs, convertible notes, subscription agreements, stock options, profit sharing, and other financing instruments;
  • Coordinate setup of data rooms and assist with due diligence matters;
  • Manage tasks within Carta for general cap table maintenance;
  • Assist with securities compliance matters, including Form ID and Form D filings, blue sky filings through NASAA, and updates to compliance tracking spreadsheets; and
  • Manage securities compliance calendaring and renewals.

 

Drafting and Document Review

  • Select templates and prepare initial drafts for routine transactions, including formations;
  • Review, proofread, format, finalize and distribute legal documents drafted by attorneys; and
  • Direct electronic signature procedures via DocuSign, compile documents, and prepare closing books.

Corporate Governance and General Business Matters

  • Research state requirements, prepare forms, and file entity formations, annual reports, and other filings in various states (e.g., DBAs, dissolutions, Qualifications to Do Business);
  • Provide expertise related to state filings, including effective dates, filing timelines, and individual state requirements;
  • Notarize documents remotely and coordinate apostille services;
  • Compile and maintain minute books, prepare stock certificates, and obtain EINs; and
  • Assist with other corporate governance and general business matters as requested.

Objectives :

The objective of the Corporate Transactional Paralegal is to make complicated transactions achievable with accuracy, precision, and repeatability. The role has particular responsibility for executing transactions related to M&A and financing matters. In these key areas, the role is responsible for execution – planning steps to ensure readiness to conduct the transaction, then instrumental in ensuring the transaction proceeds to completion. The role is also a repository of knowledge about efficient transaction procedures, which may include the effective use of technology and adherence to procedures. The role is a key individual contributor who is called upon and counted on by all service delivery team members.

  • Technologically savvy, with ability to easily learn and use cloud-based products (e.g., MS Office Suite, Outlook, Adobe Acrobat, DocuSign, Carta, Closing Folders)
  • Ability to multi-task, plan and track tasks appropriately, communicate expectations, and follow up with various parties to ensure timely completion
  • Enthusiasm for process improvement and incorporating technology to achieve desired outcomes
  • Notary certification or willingness to obtain notary certification
  • Experienced and comfortable with remote work environments
  • Detail-oriented and able to proofread with care and attention
  • Willingness to assist across practice areas and teams with a solutions-oriented mentality
  • Familiarity with M&A transactions, cap tables, financing types, and documents related thereto
  • Knowledge of the workings of a corporation, and a general understanding appropriate for a paralegal, of federal and state securities laws, and research in connection therewith
  • Experience working with governmental agencies and service companies, including Secretaries of State and SEC, to file and retrieve documents
